4. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information, materials, approvals, access credentials, brand assets, and other resources reasonably required to deliver the Services.

The Client is responsible for:

  • Ensuring that information and materials supplied to Skyram Next are accurate and lawful.
  • Obtaining all necessary rights, licences, permissions, and consents for materials provided to us.
  • Reviewing and approving content, advertisements, campaigns, landing pages, or other deliverables within agreed timelines.
  • Maintaining appropriate access to platforms, websites, advertising accounts, analytics systems, and other relevant tools.
  • Complying with applicable laws, platform policies, advertising requirements, and industry regulations relating to the Client’s business.
  • Promptly communicating material changes that may affect the Services or campaign performance.

5. Advertising Platforms and Third-Party Services

Our Services may involve third-party platforms and services, including Google Ads, Google Analytics, Meta, Facebook, Instagram, hosting providers, CRM systems, analytics platforms, marketing automation tools, and other third-party technologies.

Third-party platforms operate independently and may change their policies, algorithms, features, pricing, availability, or technical requirements without notice.

Skyram Next does not guarantee that any third-party platform will remain available, approve an advertisement, maintain a particular feature, or deliver a specific level of performance.

Clients remain responsible for complying with the terms, policies, and requirements applicable to the third-party platforms used for their campaigns.

6. Fees and Payments

Fees for Services will be communicated through a proposal, quotation, invoice, service agreement, or other applicable commercial document.

Unless otherwise agreed in writing:

  • Fees are payable according to the agreed payment schedule.
  • Third-party advertising spend, media budgets, platform fees, production costs, or other external charges may be separate from Skyram Next’s professional service fees.
  • The Client is responsible for applicable taxes, duties, or government charges associated with the Services.
  • Delayed payments may affect the timing, continuity, or availability of Services.

Skyram Next may suspend Services where invoices remain unpaid beyond the applicable payment terms, subject to any separate agreement with the Client.

7. Advertising Budgets and Campaign Performance

Where Skyram Next manages advertising campaigns, the Client understands that advertising performance can be affected by factors outside our control, including market conditions, competition, audience behaviour, platform algorithms, policy changes, technical issues, seasonality, website performance, and changes in advertising costs.

We do not guarantee specific results, including a particular number of leads, enquiries, admissions, sales, revenue, return on advertising spend, rankings, impressions, clicks, conversions, or other performance metrics, unless expressly guaranteed in a separate written agreement.

Advertising budgets are not the same as Skyram Next’s professional service fees unless expressly stated otherwise.

8. Intellectual Property

Unless otherwise agreed in writing, Skyram Next retains ownership of its pre-existing intellectual property, proprietary methods, strategies, processes, templates, frameworks, tools, know-how, and materials developed independently of a Client engagement.

Client-owned materials remain the property of the Client or the relevant rights holder.

Subject to payment of all applicable fees and any separate agreement, the Client may use final deliverables specifically created for the Client for the purposes agreed between the parties.

No rights are granted to use Skyram Next’s trademarks, proprietary methodologies, internal processes, templates, software, or other proprietary materials except as expressly authorised in writing.

9. Website Content

We make reasonable efforts to ensure that information published on our Website is accurate and useful. However, Website content is provided for general informational purposes and may contain errors, omissions, or information that becomes outdated.
